Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Motive mobile application and related services ("Service") operated by Motive Rewards. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

Motive is a community rewards platform that enables users to earn points by attending events, engaging with partner organizations, and building community. Organizations host events on Motive — we provide the technology platform and are not the event organizer. We are not responsible or liable for event cancellations by hosts, the accuracy of event information provided by hosts, or any content or activities related to events. For issues with a specific event, contact the event host directly.

To use Motive, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate, current, and complete information
• Notifying us immediately of any unauthorized use of your account
• Being at least 13 years of age to create an account

Motive Points are earned through participation in eligible activities. Please note:

• Points have no cash value and cannot be transferred, sold, or exchanged for cash
• Points may expire according to program rules set by the partner organization
• We reserve the right to modify point values, earning rules, and redemption options at any time
• Fraudulent activity may result in forfeiture of all points and account termination
• Points are awarded at our discretion and are subject to verification

Our Service allows you to post, share, and make available information, text, images, and other material ("Content"). You are solely responsible for any Content you post on the Service.

You may not post content that is:

• Offensive, abusive, harassing, threatening, or defamatory
• Obscene, pornographic, or sexually explicit
• Hateful or discriminatory based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic
• Violent or promoting violence against any individual or group
• Spam, advertising, or unsolicited commercial solicitation
• False, misleading, or fraudulent
• Infringing on intellectual property or privacy rights

By posting Content, you grant us and applicable event hosts a worldwide, irrevocable, non-exclusive, royalty-free right to use, adapt, publish, distribute, and display your Content in connection with operating and promoting the Service.

Enforcement — violations may result in:

• Immediate removal of the offending content
• Warning or temporary suspension of your account
• Permanent termination of your account and forfeiture of earned points
• Reporting to law enforcement if required by law

You must not use the Service in any unlawful or fraudulent manner, or in a way that could damage or compromise our systems or security. You agree not to:

• Access the Service by any means other than our publicly supported interfaces
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Service
• Create multiple accounts to abuse the rewards system
• Misrepresent your identity, location, or event participation
• Use automated scripts, bots, or scrapers to interact with the Service
• Reverse engineer, decompile, or attempt to derive the source code of our app

We welcome feedback on our Service. Any ideas, suggestions, or other materials you send us ("Submissions") are not confidential. You hereby assign such Submissions to us without compensation, and we may use them for any purpose without obligation to you. For any Submissions that cannot be legally assigned, you grant us an unrestricted, perpetual, royalty-free, irrevocable license to use them in any way.

All content, features, and functionality of Motive — including text, graphics, logos, icons, images, and software — are owned by Motive Rewards and are protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, republish, distribute, sell, or create derivative works without our express written permission.

Our Service may contain links to third-party websites or services. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services. Your use of third-party services (such as Google Sign-In) is subject to their respective terms.

YOU AGREE THAT USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ACCURATE, OR ERROR-FREE.

NEITHER MOTIVE REWARDS NOR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS SHALL BE LIABLE IN CONTRACT, TORT, OR OTHERWISE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES — INCLUDING LOST REVENUE, LOSS OF DATA, OR OTHER INTANGIBLES — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF FORESEEABLE. IN ANY EVENT, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID US TO ACCESS THE SERVICE IN THE TWELVE MONTHS PRIOR TO THE CLAIM. Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, so the foregoing exclusions may not fully apply to you.

You agree to indemnify, hold harmless, and defend Motive Rewards and its officers, directors, shareholders, employees, and agents from and against any and all claims, damages, costs, and expenses — including reasonable attorneys' fees — arising from or related to your access or use of the Service, your Content, or your violation of these Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflicts of law provisions. You agree that all legal proceedings arising out of or in connection with these Terms must be brought exclusively in a federal or state court located in California.

Any claim you may have must be filed within one (1) year of the time in which the events giving rise to such claim began, or such claim will be forever waived and barred.

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination — including ownership provisions, warranty disclaimers, indemnity, and limitations of liability — shall survive.

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be severed and the remaining Terms shall remain in full force. No waiver of any breach of these Terms shall be deemed a waiver of any subsequent breach. We reserve the right to transfer or assign these Terms, in whole or in part, to any person or entity. You may not assign your rights or obligations under these Terms.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will notify you of material changes through the app or by email at least 30 days before they take effect. Your continued use of Motive after changes constitutes your acceptance of the updated Terms.
